NOTICE TO PROPOSERS - Montgomery County
REQUEST FOR PROPOSALS #04-07

Sealed Proposals for RFP #04-07 for a Qualified Owner/Developer for the Construction of a New Municipal Building as requested by Montgomery County will be received by the Montgomery County Purchasing Agent, County Annex Building, 20 Park Street, Fonda, NY 12068 until 4:00 PM local time on October 11, 2007.

Any Proposal not received and time stamped by the Montgomery County Purchasing Department by 4:00 PM on October 11, 2007, will not be accepted.

Complete Request for Proposal (RFP) documents may be obtained at the office of the Montgomery County Purchasing Department, County Annex Building, 20 Park Street, Fonda, New York 12068 by the prospective Proposer or a designated representative.

The Purchasing Department shall keep a record of all prospective Proposers obtaining RFP documents. Any Proposer not on record as having received RFP documents from the Purchasing Department shall not be considered for a Proposal award.

A pre proposal conference will be held on September 18, 2007 at 10:00am at the Montgomery County Annex Building, 20 Park Street, Fonda, NY 12068 This will be the only scheduled conference. Interested Proposers are strongly encouraged to attend.

Montgomery County reserves its right to reject any and all Proposals, to waive any and all informalities and to disregard all non conforming, non responsive or conditional Proposals.

Minority Business Enterprises and Women's Business Enterprises are encouraged to respond.

REQUEST FOR PROPOSALS #04-07 (ADDENDUM #1)

Montgomery County has issued Addendum #1 for RFP #04-07 for a Qualified Owner/Developer for the Construction of a New Municipal Building. Addendum #1 extends the due date to receive sealed proposals until 4:00 PM local time on October 30, 2007.

Complete Request for Proposal (RFP) documents may be obtained at the office of the Montgomery County Purchasing Department, County Annex Building, 20 Park Street, Fonda, New York 12068 by the prospective Proposer or a designated representative.

NOTICE TO PROPOSERS - MONTGOMERY COUNTY
REQUEST FOR PROPOSALS #04-07 (ADDENDUM #2)

Montgomery County has issued Addendum #2 for RFP #04-07 for a Qualified Owner/Developer for the Construction of a New Municipal Building. Addendum #2 eliminates the requirement to pay prevailing wages to all contractors/subcontractors on the project.

NOTICE TO PROPOSERS - MONTGOMERY COUNTY
REQUEST FOR PROPOSALS #04-07 (ADDENDUM #3)

Montgomery County has issued Addendum #3 for RFP #04-07 for a Qualified Owner/Developer for the Construction of a New Municipal Building.

Addendum #3 stipulates that if the new building is to be constructed on the site where the County Building is currently located, the awarded contractor shall be required to pay prevailing wages to all contractors/subcontractors on the project. The contractor will also be required to adhere to Wick’s Law.

NOTICE TO PROPOSERS - MONTGOMERY COUNTY
REQUEST FOR PROPOSALS #04-07 (ADDENDUM #4)

Montgomery County has issued Addendum #4 for RFP #04-07 for a Qualified Owner/Developer for the Construction of a New Municipal Building.

Addendum #4 nulifies Addendum #2 dated September 18, 2007 and Addendum #3 dated September 18, 2007. In addition, due to legal issues Montgomery County will not accept proposals where the facility is to be constructed on County owned property. Therefore the original terms of the RFP apply as stated, including Addendum #1.

Montgomery County has issued Addendum #5 for RFP #04-07 for a Qualified Owner/Developer for the Construction of a New Municipal Building.

Addendum #5 assigns a new Prevailing Wage Schedule (PRC #2007007261) for RFP #04-07.

NOTICE TO PROPOSERS - MONTGOMERY COUNTY
REQUEST FOR PROPOSALS #04-07 (ADDENDUM #6)

Montgomery County has issued Addendum #6 for RFP #04-07 for a Qualified Owner/Developer for the Construction of a New Municipal Building.

Addendum #6 eliminates Paragraph 3b the Executory Clause from the Lease Agreement, which states the following: 3b. It is understood and agreed by and between the parties hereto that the contract of the County hereunder shall be deemed executory only to the extent of the monies available for the leasing of said premises and that no liability shall be incurred by the County beyond the monies available for such purpose.

Addendum #6 also amends the definition of the purchase price with respect to Paragraph 38a "Option To Purchase" to provide that the price, which is the fair market value as determined in the manner specified, shall in no event be less than the outstanding balance of the landlord's fixed indebtedness on the property plus (i) the equity originally invested by the developer and (ii) prepayment penalties and costs imposed by the lender.

Addendum#6 also adds the following statement to Paragraph 28 the Landlord's Interest section of the Lease Agreement: Notwithstanding the foregoing and any other provision to the contrary contained in this Lease, Landlord shall have the unconditional right at any time before or during the Lease term to assign this Lease and its rights and obligations hereunder to a single purpose entity, the purpose of which is to own the Premises and act as landlord under this Lease. In such event, Landlord shall give contemporaenous written notice thereof to Tenant.
